Contemporary art duo Steve and Dorota Coy founded and incorporated Hygienic Dress League Corporation as their conceptual art project. HDL Corp. (aka HDL) represents a new form of art that uses existing legal structures as the framework in a first-of-its-kind art project that functions as both performance art and business venture. The artists have participated in more traditional “white cube” gallery exhibitions, but a majority of their work takes the form of staged urban interventions, TV commercials, augmented realities, and public art installations that critique the institutional structures in which society and culture operate.
HDL current project doubles down on our concept of art as a corporation:  We have filed our Regulation A+ exemption with the SEC in order to offer Class B common stock as a new form of art. Using blockchain, technology HDL will create the first ever fully compliant dividend paying NFTs. The company will produce artwork authenticated on the blockchain and share a portion of the profits with shareholders. More information regarding the HDL’s filing can be found here. This will serve as a totally new kind of funding mechanism for art and artists while creating a new kind of investment for investors. Shareholders will receive dividends from revenue and be added to the allow-list for future NFTs, giving them access to virtual and physical installations, and other utilities.
Our goal is to develop a sustainable ecosystem for funding art. We believe that this project can serve as a model for new ways to fund creatives while also creating a new kind of art/asset hybrid. Our NFTs will act both as a form of art and potentially generate dividends for shareholders beyond a value appreciation. We envision using NFT technology to mint all artwork, both the physical and the digital, and put this work on a smart contract that will pay back to both the Corporation and shareholders.  We intend to commission additional artists to create new works on our smart contract, for which shareholders will be allowlisted, potentially increasing the return on investment for investors while also allowing the Corporation to fund new artworks from an array of emerging and established artists.
We are 'testing the waters' to gauge investor interest in a security token offering under Regulation A (Tier II). No money or other consideration is being solicited. If sent, it will not be accepted.
